Terms of business

Effective date: 01/10/2026

Spring Beyond is a trading brand of Mike Nash Ltd (“Spring Beyond”, “we”, “us” or “our”).

These Terms of Business govern the provision of consultancy and advisory services by Mike Nash Ltd, trading as Spring Beyond, to its business clients (“Client”, “you” or “your”).

Spring Beyond provides independent business innovation, technology, artificial intelligence (AI), research and strategic advisory services.

Our aim is to help organisations explore opportunities, evaluate options and make better-informed business decisions.

1.0 Scope of Services

1.1. Our services may include business innovation, strategic research, technology and AI advisory, opportunity identification, feasibility assessments, commercial analysis, skills and partner identification, and related consultancy activities.

1.2. The scope, deliverables, fees and timescales of each engagement will be agreed separately in a written proposal, quotation, Statement of Work or other written confirmation (“Proposal”).

1.3. Any services outside the agreed scope may require additional fees and written agreement.

1.4. Unless expressly agreed otherwise, our services are advisory and do not include responsibility for implementing recommendations, managing third-party suppliers or operating the Client’s business.

2.0 Nature of Advice and Recommendations

2.1. Spring Beyond provides research, analysis, ideas, concepts, strategic options and recommendations to support informed business decision-making.

2.2. Our advice represents professional judgement based on information, assumptions, research and circumstances available at the time.

2.3. Ideas and recommendations are exploratory in nature unless expressly identified as validated conclusions within the agreed scope of work.

2.4. The validity, suitability and commercial viability of any recommendation may depend on numerous variables, including market conditions, customer demand, financial resources, regulatory requirements, technology, organisational capabilities, competition and implementation.

2.5. Research, forecasts, projections, estimates and opinions are inherently subject to uncertainty and may change as new information becomes available.

2.6. We will exercise reasonable care and skill in providing our services but do not guarantee that any idea, strategy, recommendation or opportunity will achieve a particular commercial result.

3.0 Client Responsibility and Decision-Making

3.1. The Client retains full responsibility for its business decisions, strategic direction, investments, operational activities and implementation choices.

3.2. The Client is responsible for independently evaluating recommendations and determining whether they are appropriate for its particular circumstances.

3.3. The Client should undertake appropriate due diligence and obtain specialist legal, financial, tax, regulatory, technical or other professional advice where necessary.

3.4. Spring Beyond does not make final decisions on behalf of the Client unless expressly authorised under a separate written agreement.

3.5. The Client acknowledges that selecting or implementing any particular recommendation may involve commercial, technical, operational and financial risks.

3.6. These provisions do not remove Spring Beyond’s responsibility to provide services with reasonable care and skill or exclude liability that cannot lawfully be excluded.

4.0 Information, Assumptions and Research

4.1. Our work may rely on information provided by the Client or obtained from publicly available, commercial or third-party sources.

4.2. The Client agrees to provide accurate, complete and timely information reasonably required for the engagement.

4.3. Unless specifically included within the agreed scope, Spring Beyond is not responsible for independently auditing or verifying all information supplied by the Client or third parties.

4.4. We will take reasonable care in our use of information but cannot guarantee the accuracy, completeness or continued availability of external information.

4.5. Where material assumptions, limitations or uncertainties are identified, we will endeavour to communicate them appropriately.

4.6. Recommendations may become outdated as business, market, regulatory or technological circumstances change. Unless separately agreed, we have no continuing obligation to update completed work.

5.0 Fees and Payment

5.1. Fees will be specified in the relevant Proposal and may be fixed, time-based, milestone-based or otherwise agreed.

5.2. Unless stated otherwise, fees are exclusive of VAT and other applicable taxes.

5.3. Invoices are payable within 14 calendar days of issue unless alternative terms are agreed in writing.

5.4. Reasonable third-party costs, travel expenses or other disbursements will only be charged where agreed with the Client in advance.

5.5. Where payment is overdue, we may suspend services after providing reasonable written notice. We may also exercise statutory rights relating to late commercial payments where applicable.

5.6. Any deposit, advance payment, cancellation charge or milestone payment arrangement will be specified in the Proposal.

6.0 Changes, Delays and Cancellation

6.1. Either party may request changes to the agreed scope, deliverables or timetable.

6.2. Material changes must be agreed in writing, including any resulting adjustments to fees or delivery dates.

6.3. If Client delays, unavailable information or other dependencies affect delivery, the parties will discuss reasonable adjustments.

6.4. Either party may terminate an engagement by giving 14 calendar days’ written notice, unless the Proposal specifies otherwise.

6.5. Either party may terminate immediately by written notice where the other commits a material breach that cannot be remedied, or fails to remedy a remediable material breach within 14 days of written notification.

6.6. On termination, the Client remains responsible for fees for work properly performed and agreed non-cancellable commitments incurred up to the termination date. Any prepaid amounts relating to unperformed services will be dealt with in accordance with the Proposal and applicable law.

7.0 Confidentiality

7.1. Each party agrees to protect confidential business, technical, financial and commercial information received from the other party.

7.2. Confidential information must not be disclosed to unauthorised third parties or used for purposes unrelated to the engagement.

7.3. Disclosure is permitted to employees, advisers, contractors and professional representatives who reasonably require access and are subject to appropriate confidentiality obligations.

7.4. Confidentiality obligations do not apply to information that is publicly available without breach, independently developed, lawfully received from another source without restriction, or already lawfully known to the receiving party.

7.5. Disclosure may be made where required by law or a competent authority.

7.6. These obligations continue for three years after the engagement ends, except for trade secrets and information requiring longer protection under applicable law, which remain protected for as long as legally appropriate.

7.7. A separate Non-Disclosure Agreement may be entered into where additional protection is required.

8.0 Intellectual Property and Ideas

8.1. Each party retains ownership of intellectual property, materials, knowledge and methodologies developed or owned before the engagement.

8.2. Spring Beyond retains ownership of its pre-existing frameworks, research methods, processes, templates, tools, know-how and reusable consultancy materials.

8.3. Subject to full payment of applicable fees, the Client receives a perpetual, non-exclusive licence to use the final deliverables prepared specifically for it for its own internal business purposes, unless otherwise agreed in writing.

8.4. The Client may share deliverables with its professional advisers and implementation partners where reasonably necessary for its business purposes, subject to appropriate confidentiality obligations.

8.5. Ownership or exclusive rights to newly developed intellectual property will transfer only where expressly agreed in writing.

8.6. General business ideas, strategies, concepts and methods may be independently conceived or developed by multiple parties. Neither party receives exclusive rights to general ideas merely because they have been discussed during an engagement.

8.7. Nothing in these Terms authorises either party to use the other’s confidential information or protected intellectual property without permission.

8.8. Spring Beyond does not guarantee that every concept or recommendation is novel, patentable, registrable or free from third-party intellectual property rights. Specialist searches and clearance assessments must be separately agreed where required.

9.0 Artificial Intelligence and Technology

9.1. Spring Beyond may use AI, automation, analytical software and other digital tools to support research, analysis, ideation and service delivery.

9.2. AI-generated material may contain inaccuracies, omissions, bias or other limitations. We will apply professional judgement and review proportionate to the nature and agreed scope of the work.

9.3. The use of AI does not remove our obligation to exercise reasonable care and skill.

9.4. We will not knowingly submit Client confidential information or personal data to public AI services in a manner inconsistent with our confidentiality, data protection or other contractual obligations.

9.5. Where an engagement requires the use of particular AI platforms, access to sensitive information or automated decision-making, appropriate safeguards and any necessary approvals will be agreed separately.

9.6. The Client is responsible for assessing the suitability, security, legality and operational implications of any technology it decides to adopt.

9.7. Unless specifically agreed, Spring Beyond does not provide warranties concerning the performance, security or availability of third-party AI systems or technology platforms.

10.0 Third-Party Providers and Recommendations

10.1. Spring Beyond may identify, evaluate or introduce technology suppliers, consultants, service providers, investors or other potential partners.

10.2. Such recommendations are provided to assist the Client’s evaluation and do not constitute a guarantee or endorsement of performance, suitability or financial stability.

10.3. Unless otherwise agreed, the Client is responsible for selecting, contracting with, supervising and paying third-party providers.

10.4. Spring Beyond is not responsible for the independent acts or omissions of third parties appointed directly by the Client, except to the extent that loss results from Spring Beyond’s own breach of duty.

10.5. Any material commission, referral fee or financial interest that could reasonably influence a recommendation will be disclosed to the Client.

11.0 Data Protection and Security

11.1. Both parties agree to comply with applicable UK data protection legislation, including the UK GDPR and Data Protection Act 2018, as amended.

11.2. Each party will take appropriate technical and organisational measures to protect personal data it processes.

11.3. Where Spring Beyond processes personal data on behalf of the Client as a data processor, the parties will enter into an appropriate Data Processing Agreement before such processing begins.

11.4. Any Data Processing Agreement will address the applicable legal requirements, including processing instructions, security, subprocessors, international transfers, assistance with data subject rights and deletion or return of personal data.

11.5. Our separate Privacy Policy explains how we process personal data for our own business purposes.

12.0 Independence and Conflicts of Interest

12.1. Spring Beyond acts as an independent consultancy and not as an employee, agent, director or legal representative of the Client.

12.2. We may provide services to other organisations, including those operating in similar markets, provided we comply with confidentiality and other applicable obligations.

12.3. We will disclose material conflicts of interest of which we become aware and take reasonable steps to manage them.

12.4. We have no authority to bind the Client to commercial arrangements unless expressly authorised in writing.

13.0 Liability and Commercial Risk

13.1. Spring Beyond will perform its services with reasonable care and skill.

13.2. Business innovation and technology adoption involve inherent uncertainty. The Client acknowledges that commercial outcomes may depend on circumstances and decisions beyond Spring Beyond’s control.

13.3. Subject to clauses 13.5 and 13.6, Spring Beyond will not be liable for losses arising solely from the Client’s independent commercial decisions, implementation choices or failure to undertake appropriate due diligence, except to the extent caused by Spring Beyond’s breach of contract or other legal duty.

13.4. Subject to clauses 13.5 and 13.6, neither party will be liable for indirect or consequential losses, or for lost profits, revenue or anticipated savings, to the extent such exclusions are lawful and reasonable in the circumstances.

13.5 Limitation of Liability

Subject to clause 13.6, Spring Beyond’s total aggregate liability arising from or in connection with any consultancy engagement, whether in contract, negligence or otherwise, shall not exceed 100% of the total consultancy fees paid or payable by the Client for that engagement, excluding VAT.

13.6. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any other liability that cannot lawfully be excluded or limited.

13.7. Any limitation or exclusion of liability applies only to the extent permitted by applicable law, including any applicable statutory requirement of reasonableness.

14.0 Publicity and Case Studies

14.1. Neither party may use the other’s name, logo, trademarks or confidential project details in marketing materials without prior written consent.

14.2. Spring Beyond may request permission to refer to completed work in testimonials, case studies or promotional materials.

14.3. Any approved case study will be subject to agreed confidentiality and publicity restrictions.

14.4. General professional knowledge and experience gained during an engagement may be used in future work, provided confidential information and protected intellectual property are not disclosed or misused.

15.0 Complaints and Dispute Resolution

15.1. If a concern arises, the parties agree to attempt to resolve it promptly through good-faith discussions.

15.2. Formal complaints should be submitted in writing to us.

15.3. If a dispute cannot be resolved through discussion, the parties will consider mediation before commencing court proceedings, except where urgent legal relief is required.

15.4. These Terms and any engagement governed by them are subject to the laws of England and Wales.

15.5. The courts of England and Wales will have exclusive jurisdiction, subject to applicable law.

16.0 General Provisions

16.1. These Terms apply to business-to-business consultancy engagements and are not intended for consumer contracts.

16.2. Each engagement will be governed by these Terms together with the applicable accepted Proposal.

16.3. If there is a conflict between these Terms and an accepted Proposal, the Proposal will take precedence only where it expressly identifies the provision being varied. Any Data Processing Agreement will take precedence for its specific subject matter.

16.4. Neither party may assign its contractual rights or obligations without the other’s prior written consent, not to be unreasonably withheld, except as otherwise agreed.

16.5. Neither party will be responsible for delay or failure caused by events beyond its reasonable control, provided it takes reasonable steps to minimise the effects and promptly notifies the other party.

16.6. If any provision is found unenforceable, the remaining provisions will continue in effect to the extent legally possible.

16.7. Failure to enforce a provision does not constitute a waiver of the right to enforce it later.

16.8. No person who is not a party to an engagement has rights to enforce its terms under the Contracts (Rights of Third Parties) Act 1999.

16.9. We may update the Terms of Business published on our website. Updated terms will apply to new engagements after publication. Existing engagements remain subject to the version accepted at the time unless changes are mutually agreed in writing.

16.10. These Terms and the accepted Proposal constitute the agreement between the parties concerning the relevant services, subject to any other documents expressly incorporated into that agreement.

17.0 Acceptance of Terms

17.1. A client engagement begins when the Client accepts a Proposal incorporating these Terms of Business, whether by signature, written electronic acceptance or another clearly agreed acceptance method.

17.2. Spring Beyond will make these Terms available before the Client accepts an engagement.

17.3. Merely visiting or browsing our website does not constitute acceptance of these consultancy Terms of Business.
